Terms of Service
The terms that apply to subscriptions to the EpicRegards email signature service.
The parties
EpicRegards is supplied by:
EpicRegards.com
Company reg. (CVR) no. 30424085
Louisevej 7, 7860 Spøttrup, Denmark
These terms apply between the supplier and the company subscribing to EpicRegards (“the customer”). They apply to business customers and do not apply to consumer purchases.
The service
EpicRegards is a subscription service for centrally managing email signatures and campaign banners in Microsoft 365. It is delivered as software as a service and accessed through portal.epicregards.com and an Outlook add-in.
Free trial
New customers may try the service free of charge for 30 days with access to all features. No payment card is required to start a trial, and a trial does not convert automatically into a paid subscription.
Pricing and payment
The service is billed per user. The price per user decreases with the number of licensed users, and the current price level is shown in the price calculator. Billing is annual.
The subscription is invoiced in advance for the full subscription period. Invoices are issued in Danish kroner (DKK); euro amounts shown on the website are indicative, converted at a fixed rate of DKK 7.46 per euro. All prices are exclusive of VAT, which is added at the applicable rate.
Payment terms are net 14 days from the invoice date. Late payment accrues interest under the Danish Interest Act from the due date, and a reminder fee of DKK 100 is charged per reminder. If payment has not been made within 14 days of the second reminder, the supplier may suspend the customer's access to the service until payment is registered. Suspension does not relieve the customer of the obligation to pay for the subscription period.
Licence scope
The customer may synchronise the number of users from Entra Id that the subscription is licensed for. If more users are synchronised than the licensed number, signatures for the excess users stop working after a period. User licences may be added or removed at any time, taking effect from the next billing period.
Support and availability
Support is provided by email at [email protected] within support hours, which are Monday to Thursday 08:00—16:00 and Friday 08:00—12:00 (Danish time). Support is not provided on Danish public holidays.
The supplier responds to enquiries within the following response times, counted in support hours from the time the enquiry is received:
- Critical faults — the service is unavailable to all of the customer's users: response within 4 support hours
- Major faults — a core function does not work as described: response within 8 support hours
- Other enquiries — questions, guidance and minor faults: response within 2 business days
The response times state when the supplier reacts to an enquiry, not when a fault is resolved. The supplier remedies faults without undue delay.
The service is delivered with an availability target of 99.9% measured per calendar month. Planned maintenance announced at least 5 days in advance, and downtime caused by circumstances outside the supplier's control — including outages at Microsoft or other sub-suppliers — are excluded from the calculation.
If the target is not met in a calendar month, the customer may, within 30 days of the end of that month, claim a proportionate reduction of the subscription fee for the month concerned. The reduction may not exceed one month's subscription fee and is the customer's sole remedy for failure to meet the availability target.
Customer data
The customer owns its own data. The supplier processes personal data on the customer's behalf as a processor, under a separate data processing agreement. See also our privacy policy.
The data processing agreement is entered into between the parties before processing of personal data begins and forms an integral part of the agreement. The customer may request the supplier's standard data processing agreement at [email protected]. In the event of any conflict between the data processing agreement and these terms, the data processing agreement prevails as regards the processing of personal data.
Term and termination
The subscription runs for 12 months from the activation date and renews automatically for successive 12-month periods unless terminated in writing no later than one month before the end of the current period. Termination is made by written notice to the supplier.
Either party may terminate the agreement for material breach by the other party if the breach has not been remedied within 30 days of written notice.
Prepaid subscription fees are not refunded if the customer terminates or cancels, unless the cancellation is due to the supplier's material breach.
On termination of the subscription, the customer has 30 days to export its data from the service. The supplier then deletes the customer's data no later than 90 days after the termination date, except for information the supplier is required to retain by law.
Liability
The supplier is not liable for indirect loss, including operating loss, loss of profit, loss of data, loss of goodwill or third-party claims.
The supplier's total liability towards the customer is in all circumstances limited to the total subscription fees paid by the customer in the 12 months preceding the event on which the claim is based.
These limitations do not apply in cases of intent or gross negligence, or to the extent liability cannot be limited under mandatory law.
Neither party is liable for failure to perform caused by force majeure, including failure of public networks, power outages, cyber attacks, war, natural disasters or similar circumstances beyond that party's control.
Changes to these terms
The supplier may change these terms on 30 days' notice by message to the email address the customer has provided as its contact address. The version in force at any given time is available on this page.
If a change is materially detrimental to the customer, the customer may terminate the subscription with effect from the date the change takes effect, by written notice given before it takes effect. Prepaid fees for the period after the termination date are then refunded proportionately.
Price changes for a current subscription period take effect only on renewal of that period and are announced at least 60 days before renewal.
Governing law and venue
The agreement is governed by Danish law. The UN Convention on Contracts for the International Sale of Goods (CISG) and Danish conflict-of-law rules referring to the law of another country do not apply.
Any dispute that cannot be settled amicably shall be brought before the District Court of Viborg, Denmark, as the agreed venue in the first instance.
